a. Circumstances:
Not commencing business within one year of its incorporation
Not carried on any business or operation for two consecutive financial years
Not filing its annual financial statements or annual returns for two consecutive financial years
Not carrying on any business or operations and wants to voluntarily wind up its affairs.
b. Compliance Requirements and Process:
Convene a board meeting to pass a resolution for strike off and appoint a liquidator (if required).
File Form STK-2 (Application for Strike Off) with the RoC along with the required documents, such as board resolution, indemnity bond, and statement of accounts.
Publish a notice in the Official Gazette and in a newspaper in the principal vernacular language of the district where the registered office is situated.
The RoC will review the application and, if satisfied, issue a notice for strike off in the Official Gazette.
The OPC will be struck off from the register and dissolved, and the RoC will publish a final notice in the Official Gazette.
